Entity: Aiur Labs, operating as “JRNY CLUB”

These Terms of Service (the “Agreement”) constitute a legally binding agreement between you (“User”, “you”) and Aiur Labs, a digital asset project operating under the name JRNY CLUB, regarding your voluntary participation in the JRNYER NFT Burn and Mint Program (the “Program”).

By engaging with the Program, including submitting the associated participation form and transferring a JRNYER NFT to the specified Ethereum address, you expressly acknowledge and agree to be bound by the terms and conditions contained herein.

Aiur Labs is facilitating a blockchain migration initiative, allowing holders of JRNYER NFTs on the Ethereum network to permanently burn their tokens in exchange for newly minted NFTs on the Cardano blockchain. This process involves the destruction of the original digital asset and is non-reversible.

To initiate participation, you must unconditionally and irrevocably transfer your JRNYER NFT to the following Ethereum address:

The act of sending your NFT to this address constitutes intent to permanently destroy the asset on Ethereum.

By submitting your NFT to the burn address, you affirm, represent, and warrant that:

• You understand and accept that the burn process is permanent and non-recoverable.
• You waive any and all rights to the burned NFT, including but not limited to recovery, compensation, or restoration of utility or value.
• Aiur Labs makes no guarantees regarding replacement, refund, or value equivalence.
• You are voluntarily engaging in this Program with no expectation of reimbursement or appreciation in value.

The Cardano-based JRNYERS NFT collection will consist of:

• A total of 1,000 NFTs on the Cardano blockchain.
• Up to 500 NFTs allocated via the Ethereum burn-and-mint process described herein.
• Up to 500 NFTs to be made available via a public mint and sale at a later announced date.

• The public mint and sale is tentatively scheduled for early May 2025, with the exact date and time to be announced.
• NFTs minted via the burn-and-mint process will be airdropped to eligible participants after the public mint concludes, at a date determined by Aiur Labs.
• Eligibility for airdrop is strictly contingent upon proper completion of the form and successful NFT burn.

You acknowledge and agree that:

• JRNYER NFTs minted on the Cardano blockchain will not have identical features or utility to those originally issued on Ethereum.
• These NFTs are offered as digital collectibles only, and Aiur Labs disclaims any implication of investment opportunity, financial return, or market value increase.
• Participation should not be construed as an offer of securities or financial products.

Participation requires submission of a valid Cardano wallet address via the official JRNY CLUB Google Form.

• It is your sole responsibility to verify the accuracy of the wallet information you submit.
• Aiur Labs shall not be held liable for:
  • NFTs lost due to incorrect or incompatible wallet addresses;
  • Incomplete or inaccurate form entries;
  • Missed airdrops due to user error.

• The Program is limited to a maximum of 500 NFTs from the community.
• Submissions are accepted on a first-come, first-served basis until the limit is reached or the submission window is closed at Aiur Labs’ sole discretion.
• Aiur Labs reserves the right to reject, delay, or terminate participation in its sole discretion.

• No Warranty. The Program is provided “as is” without warranties of any kind, express or implied.
• Limitation of Liability. Under no circumstances shall Aiur Labs, its affiliates, officers, or representatives be liable for any indirect, incidental, consequential, or special damages arising from or related to your participation in the Program, including but not limited to loss of digital assets, wallet misconfiguration, or gas fees.
• Indemnity. You agree to indemnify and hold harmless Aiur Labs and its affiliates from any claims, liabilities, or losses resulting from your breach of this Agreement or misuse of the Program.

By submitting the form and transferring your JRNYER NFT to the specified burn address, you hereby:

• Acknowledge that you have read, understood, and accepted the full contents of this Agreement.
• Agree to be legally bound by all of its terms and conditions.
• Affirm that you are acting voluntarily and not under duress, with full understanding of the implications of this action.
